1. Agreement to Terms
By accessing or using Steward&Row's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services.
2. Services Description
Steward&Row provides COGS (Cost of Goods Sold) coverage for operators. Our services include:
- COGS coverage for business operations
- Operator certification and education
- Vendor network access
- Revenue tracking and integration
- Advisory services for operators
Specific terms for each operation will be outlined in separate operation agreements.
3. Operator Responsibilities
As an operator, you agree to:
- Complete the Certified Operator course before submitting operations
- Provide accurate and complete information about your operations
- Connect your revenue sources for automated tracking
- Pay the revenue share as outlined in your operation agreement
- Comply with all applicable laws and regulations
4. Fees and Payment
COGS coverage includes the following fees:
- 2% origination fee on approved coverage amount
- 7% revenue share on sales until coverage is repaid
- $99/month platform access fee
Revenue share is collected automatically through integrated payment systems. Late or missed payments may result in reduced coverage limits for future operations.
5. Confidentiality
We maintain strict confidentiality of all operator information. We will not disclose your confidential information to third parties without your consent, except as required by law or as necessary to provide our services.
6. Intellectual Property
All platform technology, educational materials, and methodologies remain Steward&Row's intellectual property. Operators receive a license to use the platform and materials for their operations.
7. Risk and Liability
COGS coverage involves shared risk. If an operation does not generate revenue, repayment obligations are limited as outlined in your operation agreement. We do not provide legal, tax, or accounting advice.
Our liability is limited to the coverage provided for the specific operation giving rise to any claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
8. Termination
Either party may terminate platform access with written notice. Upon termination:
- All outstanding revenue share obligations remain due
- Active operations continue until coverage is repaid
- Confidentiality obligations survive termination
9. Dispute Resolution
Any disputes arising from these terms or our services will be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to binding arbitration in Wyoming, USA.
10. Governing Law
These terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles.
11. Modifications
We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
